Chadderton Historical Society
The Chadderton Historical Society was founded in May 1975, and in 1991, was re-organised, adopted a constitution, and gained charitable status. The following is the Constitution as approved by the Charity Commission upon the date of Registration, 13th August 1991.
1) Name of the Society
The Society shall be known as the "Chadderton Historical Society", hereafter referred to as "the Society".
The main objects of the Society shall be to promote the advancement of education by developing public interest in all aspects of local history.
In furtherance of the above objects (but not otherwise) the Society is empowered to:
a) Undertake original research into aspects of Chadderton's history;
b) Make available to the public the results of such research;
c) Undertake the compilation and organisation of local history material which shall form the archives of the Society;
d) Undertake the organisation of displays of local history material;
e) Carry out archaeological excavations with guidance from professional bodies;
f) Provide comment and give advice, when required, on matters appertaining to the history and heritage of Chadderton;
g) Invite guest speakers to address members of the Society on subjects of an historical nature;
h) Organise visits to places of local and general historical interest.
Membership of the Society shall be open to all on payment of an annual subscription.
4) Annual Subscription
The Annual Subscription shall be determined, for the following year, at the Annual General Meeting and shall be payable at the date of joining.
5) Executive Committee (Trustees)
The Executive Committee shall be elected at the Annual General Meeting to take place each May. It shall consist of the Chairperson, Secretary/Vice-Chairperson, Treasurer, and three other members, and shall hold a minimum of nine meetings each year.
The Treasurer is responsible for the funds of the Society and for accounting for those funds, and is authorised to operate a bank account in the name of the Society. The annual accounts of the Society shall be audited by two Independent Examiners (formerly known as auditors) elected at the Annual General Meeting. The audited accounts shall be presented to the Annual General Meeting. All cheques shall be signed by two of the four authorised signatories.
7) Dissolution of the Society
The Society shall be dissolved by a resolution passed by a two-thirds majority of those present and voting at a Special Meeting convened for the purpose, of which twenty-one days' notice shall have been given to members. Such resolution may give instructions for the disposal of any assets held by or in the name of the Society, provided that if any property remains after the satisfaction of all debts and liabilities, such property shall not be paid to or distributed among the members of the Society, but shall be given or transferred to such other charitable institution or institutions having objects similar to some or all of the objects of the Society, as the Society may determine, and if in so far as affect cannot be given to this provision, then to some other charitable purpose.
Should any such dissolution take place, it shall be provided that any archives belonging to the Society shall remain available to the public of Chadderton, being lodged at the Chadderton Central Library.
8) Constitutional Amendments
Any amendments to this Constitution shall receive the assent of not less than two-thirds of the members of the Society present and voting at a meeting specially called for that purpose, provided that notice of any such amendment shall have been received by the Secretary in writing at least twenty-one clear days before the meeting at which the amendment is to be brought forward.
At least fourteen clear days notice in writing of such a meeting, setting forth the terms of the amendment to be proposed, shall be sent to each member of the Society.
It shall be provided that no alteration to the Constitution be made which would have the effect of causing the Society to cease to be charitable in law.
